Membership Agreement- GetPaidFromHome.com General Membership Agreement (Jan 21, 2001)RULES:All prospective Members of getpaidfromhome.com are required to agree to the following Terms and Conditions in order to be considered for Membership at getpaidfromhome.com by Independent Marketing Exchange Inc, dba; Adspace-Online, (hereinafter referred to as "Company" or "getpaidfromhome"), a NJ Corporation. Anyone determined by Company to have violated these Terms and Conditions is subject to being banned from getpaidfromhome.com with an immediate termination of all membership privileges, without any obligation by Company to provide any refund or continued service. Any Member found or believed to have shared or sold his/her/their membership or websites or to violate any of our copyrights or other rights will be banned from the website and all membership privileges terminated immediately without recourse or refund. Prospective Members will submit a completed Membership Application including a complete and accurate disclosure to Company of the nature of their business(s) and the website(s) belonging to the Member/prospective Member. Company reserves the right, in its sole discretion, to accept or deny any membership application. Any Member who uses Membership and or websites or trademarked names/companies or other privileges for illegal, unfair, or unethical purposes, or who infringes on any copyrights, trademarks, or other rights or property belonging to Company or its assigns will be banned immediately without any future payment. Any Member found to have submitted false information on their application may also be terminated as a Member without recourse. ONE ACCOUNT PER MEMBER You must be a person (not a company) and may only sign up once and maintain one Membership. Your Relationship to Getpaidfromhome.com - the company, is one of an independent contractor and/or customer. No employee-employer relationship is created by Your use of the Service. You do not have any obligation to refer new members to the Getpaidfromhome.com program.CANCEL AT ANY TIMEYou may cancel Your Membership at anytime by notifying Getpaidfromhome at custserv@getpaidfromhome.com. If you decide to cancel Your membership and later wish to re-enroll, You will be assigned a new account number; You will not receive further credit for referrals made using Your previous account. Notwithstanding our right to terminate this Agreement without any notice for good cause, we may at any time terminate your membership by written six weeks prior notice; MEMBERS MAY NOT USE SPAMYou may not use unsolicited email, usenet, message board postings, or similar methods of mass messaging (?spam?) to gather referrals. (Usenet and message board Spam are messages sent or posted which are unrelated to the topic of discussion of the particular news group or message board.) The use of Spam to promote the Getpaidfromhome service has strict negative consequences. Not only may Getpaidfromhome terminate the Membership of any Member who in Getpaidfromhome's reasonable opinion has used unsolicited email to gain referrals (a ?Spammer?); Getpaidfromhome will also sever the branch of the "referral tree" made up of direct and extended referrals obtained by the Stammer. You may be subject to state and federal penalties and other legal consequences under applicable law if You send unsolicited email. AGE REQUIREMENTSAll Countries (except Japan): If you are under 18 years old, you need to obtain your parent's consent before applying for Getpaidfromhome.com membership. Japan: If You are under 20 years of age and live in Japan, You must have permission of Your parent(s) or legal guardian to become a Member of Getpaidfromhome and to participate in the distributor program. MARKETING CLAIMS You agree not to make any misrepresentations to any of Your Referrals or potential Referrals with respect to compensation typically received by Getpaidfromhome.com members or with respect to compensation that potential members are likely to receive, and to fully comply with all applicable laws related to multi-level marketing programs and direct mail distributor programs.MODIFICATIONS:Company reserves the right to restrict the use of certain portions of its products and services and/or to modify same, without notice or liability for doing so. We may modify the benefits, services and/or terms and conditions contained in this Agreement at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Modifications may include prices, benefits, and rules. If any modification is unacceptable to you, your only recourse is to terminate this Agreement to us in writing and discontinue Membership. Your continued participation as a Member will constitute binding acceptance of any change. Supplies that are printed all hold copyright and are held by the company. Any reproduction or reprinting of this material must be cleared by customer service principles and must remain exactly the way they initially read. Any member found to alter any supply or printed material or change change/copy without consent shall be terminated immediately RELATIONSHIP OF PARTIESYou and we are independent contractors and nothing in this Agreement will create any partnership, joint venture, agency, franchise, or employment relationship between parties. Information required for Tax Purposes Related to your performance. If You join and accrue US $250 in your account we may contact you to request additional information including, for example, the Social Security number of our U.S. Members or confirmation of country of residence for non-US members. We will only use this additional information for legitimate purposes related to complying with applicable tax laws. If You are contacted and fail to provide us with the information we legitimately require, we may refuse to pay You until we receive that information. LIMITATION OF LIABILITY All Members agree to utilize the membership services and products available through Company at their own risk. Company, its administrators, partners and sponsors can not be held liable for any damage or loss sustained as a result of Membership or using our products and services. We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits or data) arising in connection with this Agreement or your membership, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement will not exceed the total amount paid for the initial Membership fee. TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEITHER GETPAIDFROMHOME NOR ANY OF ITS PARENTS, MEMBERS, SUBSIDIARIES, AFFILIATES, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS MEMBERSHIP AGREEMENT, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. If you are dissatisfied with the Getpaidfromhome Service or promotions available through the Service, Your sole and exclusive remedy is to cancel your membership in Getpaidfromhome.com. Force Majeure- Getpaidfromhome.com will not be in default or otherwise liable for any delay or failure in its performance under this Agreement where such delay or failure arises by reason of an Act of God, or any government or governmental body, acts of war, the elements, strikes or labor disputes, power or system failures, failure of the Internet, computer hacking, or other causes beyond the control of Getpaidfromhome.com.DISCLAIMERS:Although we will make a reasonable effort to provide a high standard of quality for our products and services and accurate information, and we feel we have achieved remarkable success listing only the highest quality companies at our website, we make no warranties or representations, either expressed or implied, of any kind regarding the dependability, accuracy, quality, suitability, or timeliness of the products and services provided by getpaidfromhome.com, including, without limitation, warrantees of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage. This Agreement shall be governed by the laws of the United States and the State of New Jersey, without references to rules governing choice of laws. Subject to that restriction, this Agreement will be binding upon, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this AgreementCOMPLY WITH LAWSYou agree to comply with all of your local, state, province, country or regional legal restrictions that may be applicable to your membership in Getpaidfromhome.com. TERMINATION OF ACCOUNTSTo the full extent allowed by applicable law, Getpaidfromhome at its sole discretion and for any or no reason may refuse to accept applications for membership and may terminate any Members without prior notice for good cause, particularly including, but not limited to: (a) any serious violation of any provision of this Membership Agreement; (b) changing current promotional materials; (c) acting against the business interests or reputation of Getpaidfromhome despite a warning letter; (d) otherwise acting in a severely or substantially unlawful manner in relationship to Getpaidfromhome, the Getpaidfromhome.com websites or the Service; (e) material breach of our spamming policy; or (f) any other reason at the discretion of Getpaidfromhome; If your account is terminated by Getpaidfromhome, You may not re-enroll or join under a new account unless formally invited to do so by Getpaidfromhome. INDEPENDENT INVESTIGATIONYOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS.
